These terms define how New Reward is used, how accounts are managed, and how responsibilities are allocated between your team and ours.
1. Acceptance Of Terms
By accessing or using New Reward, you agree to these Terms and Conditions. If you use the platform on behalf of an organization, you represent that you are authorized to bind that organization.
2. Service Scope
New Reward provides software and related services for campaign operations, social and channel workflows, performance reporting, and AI Search analysis.
- Features may evolve as products and platform providers change.
- Some capabilities depend on third-party services and API availability.
- Specific deliverables may be documented in an order form or SOW.
3. Accounts And Access
You are responsible for account security, user permissions, and actions taken through your credentials.
- Provide accurate account and billing information.
- Use strong authentication controls and protect credentials.
- Notify us promptly of suspected unauthorized access.
4. Billing And Payments
Paid plans are billed on the schedule shown at purchase, unless otherwise stated in your contract.
- Fees are due according to the selected plan or signed agreement.
- Past-due balances may result in suspended access until resolved.
- Taxes, where applicable, are your responsibility unless otherwise stated.
5. Acceptable Use
You agree not to misuse the platform, disrupt operations, or violate laws and third-party terms while using New Reward.
- Do not attempt unauthorized access to systems or data.
- Do not use the service to distribute unlawful, abusive, or deceptive content.
- Do not interfere with service integrity, rate limits, or security controls.
6. Third-Party Providers And Social Integrations
Integrations with providers (including social, ad, analytics, and publishing platforms) are subject to each provider's policies, terms, and technical constraints.
- You are responsible for maintaining valid credentials and app approvals.
- Provider API changes may affect features or require reconfiguration.
- We are not liable for provider outages, denials, or policy enforcement actions.
7. Intellectual Property
New Reward retains all rights to the platform, software, and underlying technology. You retain rights to your content and data, subject to rights needed to operate the service.
8. Confidentiality
Each party agrees to protect the other party's non-public information and use it only for permitted business purposes under these terms.
9. Disclaimers
The service is provided on an as-available basis. We do not guarantee uninterrupted operation or specific performance outcomes from third-party channels or algorithms.
10. Limitation Of Liability
To the maximum extent permitted by law, New Reward is not liable for indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption.
11. Indemnification
You agree to indemnify and hold harmless New Reward from claims arising out of your use of the service, your content, or your violation of these terms or applicable law.
12. Suspension And Termination
We may suspend or terminate access for material breach, legal risk, non-payment, or security threats. You may stop using the service at any time, subject to active contractual obligations.
13. Governing Law
These terms are governed by applicable United States law and the laws of the State of Delaware, excluding conflict-of-law rules, unless a signed contract states otherwise.
14. Changes To Terms
We may update these terms periodically. Continued use after an update takes effect means you accept the revised terms.
